The terms that govern use of Rivercrest's AI automation and communication platform for clinics.

These Terms of Service ("Terms") govern access to and use of Rivercrest's software, automations, and related services ("the Service"). By accessing or using the Service, or by signing an order or agreement that references these Terms, the clinic and its users ("you") agree to be bound by them. If you do not agree, do not use the Service.
Rivercrest provides AI-assisted communication, follow-up, CRM, scheduling, and analytics tools designed for healthcare clinics. The Service is an operational and administrative tool. Features, integrations, and configurations vary by package and by what the clinic chooses to enable.
The Service supports administrative communication and scheduling only. It does not provide medical advice, diagnosis, or treatment, and must not be configured or relied upon to do so. All clinical decisions remain solely with licensed clinic staff. You are responsible for ensuring that automated communications are clinically appropriate and that patients are directed to qualified professionals where needed.

Rivercrest provides configurable tools; you determine how they are used and remain the controller of your data.
You agree not to use the Service to send unlawful, deceptive, harassing, or unsolicited communications; to violate any person's rights; to upload malicious code; or to misuse the platform in any way that could harm patients, third parties, or Rivercrest. Rivercrest may suspend the Service for conduct that it reasonably believes violates these Terms or applicable law.
The Service may connect to third-party systems you choose (for example, calendar, messaging, payment, or AI providers). Rivercrest does not control those services, is not responsible for their availability, performance, or practices, and disclaims all liability arising from them. Your use of third-party services is governed by their own terms.
Fees, billing cycles, and scope are set out in your order or agreement. Unless stated otherwise, fees are non-refundable. Rivercrest may revise pricing on renewal or with notice as described in your agreement.
Rivercrest does not guarantee any specific outcome — including any number of leads, calls, bookings, conversions, revenue, response times, or compliance outcomes. Any examples, projections, or illustrative figures are for demonstration only and are not promises of performance.
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, to the maximum extent permitted by law. Rivercrest does not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements.
To the fullest extent permitted by applicable law, Rivercrest and its owners, officers, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for any loss of revenue, profits, data, goodwill, patients, reputation, or business opportunity, arising out of or relating to the Service, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
To the extent liability cannot be fully excluded, Rivercrest's total aggregate liability for all claims arising out of or relating to the Service shall not exceed the total fees paid by you to Rivercrest in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions; in those cases the exclusions apply only to the extent permitted by law, and nothing here excludes liability that cannot lawfully be excluded.
You agree to defend, indemnify, and hold harmless Rivercrest and its personnel from and against any claims, damages, fines, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the Service; the communications, data, or workflows you configure; your breach of these Terms; or your violation of any law or third-party right, including any patient or privacy claim.
These Terms apply for as long as you use the Service. Rivercrest may suspend or terminate access for breach, non-payment, or unlawful use. On termination, your right to use the Service ends; provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnification) survive termination.
These Terms are governed by the laws of the jurisdiction in which Rivercrest is established, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts in that location, except where applicable law requires otherwise. (Insert specific governing jurisdiction during attorney review.)
